AMENDMENT 5 – AMEND ARTICLE VI TO ALLOW VOICE VOTE FOR APPROVAL OF DIRECTORS AND OFFICERS.
JANUARY 18, 2020.
Amend Article VI Paragraph 7 of by laws, which reads:
7. Each voting member may cast his or her vote in person at the annual meeting or may cast same by proxy, by delivering his ballot in a sealed envelope, marked “Ballot”, to the Secretary, or to some other member, to cast the same for him at the annual meeting.
Replace with the following paragraph.
7. Each voting member may cast his or her vote in person at the annual meeting or may cast same by proxy, by delivering his ballot in a sealed envelope, marked “Ballot”, to the Secretary, or to some other member, to cast the same for him at the annual meeting, or by the digression of the board of directors by a voice vote at the annual meeting.
